1. GENERAL TERMS OF USE (GTU)

 

General Terms of Use (applicable to all Users)

PREAMBLE

 

PARIS FASHION SHOPS - PFS, a company registered with the Paris Trade and Companies Register under number 819 963 919, whose EU VAT number is FR 93 819963919, hereinafter referred to as “PFS”, has set up a technical hosting service for a marketplace, hereinafter the “Marketplace”, enabling brands, manufacturers, wholesalers and professional suppliers, hereinafter the “Sellers”, to offer products for sale exclusively intended for professional buyers in the fashion sector, hereinafter the “Buyers”.

 

PFS acts exclusively as a technical platform operator and hosting provider within the meaning of Article 6-I-2 of Law No. 2004-575 of June 21, 2004 on confidence in the digital economy, known as the LCEN. PFS is neither a seller, reseller, nor owner of the Products offered on the Marketplace.

 

These General Terms of Use, hereinafter the “GTU”, are intended to define the terms and conditions of access to and use of the Website and the Marketplace by any User, whether Buyer or Seller.

 

Use of the Marketplace implies full and unreserved acceptance of:

  • the GTU in force;
  • the applicable GTS;
  • the payment, return and logistics policies.

 

1. DEFINITIONS
 

For the purposes of these PFS GTU, the singular shall include the plural and vice versa. The following definitions apply to terms used with a capital letter:

 

Marketplace: refers to the digital platform operated by PFS enabling Sellers and Buyers to connect. It is accessible at https://www.parisfashionshops.com.

 

Product: refers to any item offered for sale by a Seller on the Marketplace.

 

User: refers to any natural or legal person, whether Buyer or Seller, who accesses the Marketplace and uses its services.

 

Sellers: refers to any professional offering products for sale on the Marketplace, including brands, manufacturers, wholesalers or suppliers selling products to professional buyers in the fashion sector, on a B2B basis.

 

Buyer: refers to any natural or legal person acting for professional purposes, registered on the Marketplace, purchasing or wishing to purchase products offered by Sellers.

It refers to PFS’s contracting party, carrying out a professional activity and demonstrating the existence of their commercial activity and/or professional status, in particular by providing their SIRET number. The Buyer must be established in a Member State of the European Union or in a State party to the European Economic Area, and act within the framework of their main, habitual professional activity duly declared to the competent tax and social authorities.

 

Stripe: refers to PFS’s partner payment service provider, namely the Application Programming Interface, API, made available to Sellers and Buyers for the purposes of implementing an electronic money payment functionality on the Marketplace.

 

Scalapay: refers to the payment and instalment payment service provider partnered with Stripe, enabling certain eligible Buyers to benefit from an instalment payment solution for the settlement of their orders placed on the Marketplace.

 

Business Day: refers to a working weekday from Monday to Friday.

 

 

2. REGISTRATION AND CONNECTION TO THE MARKETPLACE
 

Registration on the Marketplace is free of charge and reserved for professionals.

 

When creating their account, the User undertakes to provide accurate, complete and up-to-date information, as well as the necessary supporting documents relating to their identity and professional activity. It is the User’s responsibility to keep this information up to date throughout the period of use of the service.

 

Access to the Marketplace is made using personal and confidential credentials. The User is solely responsible for their storage and use. Any connection made using these credentials is deemed to have been made by the User.

 

The User warrants the accuracy and regularity of the information provided, including information relating to their identity, professional registration, EU VAT number where applicable, and the lawfulness of their activity.

 

PFS reserves the right to carry out any useful verification, in particular within the framework of Know Your Customer and Know Your Business procedures, KYC/KYB, and to request any additional supporting documents.

 

In the event of any anomaly, inconsistency or doubt, PFS may suspend access to the account or even delete it.

 

In the event of suspected fraud, including identity, document or tax fraud, PFS may proceed with the immediate closure of the account, the freezing of associated funds and the referral of the matter to the competent authorities.

 

The User undertakes to use the Marketplace in accordance with applicable laws and regulations, to respect the rights of third parties and not to disseminate any unlawful, fraudulent, counterfeit or misleading content, nor to disrupt the proper functioning of the service.

 

Any breach of these GTU may result in the suspension or termination of the account, without prejudice to any further action.

 

 

3. REPRESENTATIONS AND WARRANTIES GIVEN BY THE USER
 

The User undertakes to use the Marketplace in accordance with applicable laws and regulations and warrants that they will not make use of it in a manner likely to:

 

  • infringe intellectual property rights, personality rights, including image rights and privacy rights, or any other rights of third parties;
  • contravene any applicable legal, regulatory or administrative provision;
  • breach any contractual obligation owed to a third party;
  • be unlawful, fraudulent, misleading, defamatory, abusive, harassing, violent, obscene or contrary to public order;
  • misrepresent the origin, nature or identity of published content;
  • carry out commercial operations, promotions, competitions, lotteries, pyramid schemes or similar activities without prior written authorisation from PFS;
  • introduce, disseminate or exploit any virus, malware, Trojan horse, worm or any other harmful element;
  • impersonate a third party or present themselves as affiliated with PFS, its teams or its representatives.
     

 

4. RESTRICTIONS AND PROHIBITED ACTIVITIES
 

In the context of using the Marketplace, the User is prohibited in particular from:

 

  • collecting, soliciting or attempting to obtain confidential information from other Users such as passwords, identifiers or personal data;
  • compromising the security of computer systems, in particular by gaining unauthorised access to accounts, obtaining security codes or transferring or storing unlawful, threatening or public-order-violating content;
  • using automated devices, programs or scripts, including spam, mailing lists or automatic reply systems, to send unsolicited communications or disrupt the service;
  • using any manual or automated process aimed at crawling, analysing, overloading or mass-distributing content on the Marketplace;
  • decompiling, disassembling, reverse engineering or attempting to extract the source code of the Marketplace software;
  • removing, hiding or modifying legal notices, links or information present on the Marketplace, including references to these GTU;
  • accessing, exploiting or interacting with the Marketplace’s content by means other than those made available via the official interface.
     

Any breach of these provisions may result in the immediate suspension or termination of the User’s account, without prejudice to any other action PFS reserves the right to take.

 

 

5. OTHER OBLIGATIONS OF THE USER
 

The User is solely responsible for their use of the Marketplace and the consequences of their activity. It is the User’s responsibility to take all necessary measures to secure their IT environment, in particular to protect against viruses, malware or any other harmful elements.

 

In the event of suspicion or evidence of identity theft, in particular through a fraudulent or inaccurate SIRET number or EU VAT number, PFS reserves the right to suspend or close the account concerned without notice.

 

The User acknowledges and expressly accepts that PFS does not intervene in the contractual relationships between Users and assumes no role as seller, buyer or agent of the parties.

 

As such, PFS cannot be held liable for the Products, their availability, their conformity, their price, nor the delivery conditions or execution of transactions concluded between Users.

 

PFS acts exclusively as a technical service provider offering a Marketplace, including in particular:

 

  • content hosting;
  • provision of a matchmaking platform;
  • provision of technical tools enabling transactions to be carried out.
     

 

6. SECURITY AND FRAUD PREVENTION
 

In order to guarantee the security of the Marketplace and the compliance of exchanges, the following are strictly prohibited:

 

  • any identity theft;
  • any fraud relating to an EU VAT number;
  • the creation or use of multiple accounts for fraudulent purposes;
  • any attempt to circumvent the Marketplace’s fees, commissions or billing mechanisms;
  • any abusive use of payment methods, in particular fraudulent payment disputes, known as chargebacks.
     

In the event of a breach or suspicion of fraud, PFS reserves the right to take any necessary measures, including:

 

  • immediate suspension of the account, without notice;
  • freezing of ongoing transactions;
  • cooperation with banking institutions and competent authorities.
     

 

7. CHARGEBACKS AND PAYMENT DISPUTES
 

Any payment dispute or bank opposition, known as a chargeback, deemed abusive or fraudulent may result in measures being taken against the User concerned, including the suspension or closure of their account, as well as the recovery of amounts owed, including any fees and penalties.

 

Any chargeback procedure is presumed to constitute a serious contractual breach, unless proven otherwise by the User.

 

In the event of a chargeback, PFS reserves the right to:

 

  • suspend or block the User’s account;
  • render amounts owed immediately due;
  • charge reasonable fees incurred for processing the matter, to the extent permitted by applicable regulations;
  • take any useful action to recover amounts owed.
     

 

8. ACCESSIBILITY
 

PFS strives to ensure the accessibility and proper functioning of the Marketplace. However, given the technical constraints related to the Internet, the availability of the service cannot be guaranteed on a continuous basis, without interruption or error.

 

Accordingly, no guarantee of continuity, performance or absence of anomaly is given.

 

Temporary interruptions may occur, in particular for maintenance, update or improvement operations of the Marketplace. PFS will endeavour, to the extent possible, to limit their frequency and duration.

 

No interruption or suspension of the service may give rise to compensation.

 

In the event of unlawful use of the Marketplace, attempted hacking, counterfeiting or any behaviour compromising the security or proper functioning of the service, PFS reserves the right to suspend or restrict access to the Marketplace, without prejudice to the other rights provided for in these GTU.

 

 

9. ELECTRONIC COMMUNICATIONS – EVIDENCE
 

The User accepts that exchanges with PFS may take place electronically, in particular by email or via notifications available on the Marketplace.

 

The parties agree that any communication, notification, document or exchange made electronically between PFS and the User is admissible as evidence and has the same value as a paper document.

 

Accordingly, computer records, electronic messages and exchanges made via the Marketplace are binding between the parties and may be used for evidentiary and contractual purposes.

 

 

10. NEWSLETTER AND PROSPECTING
 

Unless the User expressly objects, they will receive the Website Newsletter. They may unsubscribe at any time via the link provided for this purpose.

 

 

11. HYPERLINKS
 

PFS cannot be held liable for the accuracy, compliance with copyright, legality or decency of elements appearing in or accessible via third-party websites linked to from the Marketplace.

 

 

12. INTELLECTUAL PROPERTY
 

The Marketplace, together with all its components, including technologies, software, interfaces, content, databases and graphic elements, is protected by intellectual property rights and remains the exclusive property of PFS or its rights holders.

 

PFS grants the User a limited, personal, non-exclusive, non-transferable and revocable right of access and use, strictly intended for use of the Marketplace in accordance with these GTU.

 

Any reproduction, representation, modification, adaptation, dissemination or exploitation, in whole or in part, of the Marketplace or any of its elements, without prior written authorisation from PFS, is strictly prohibited.

 

 

13. PERSONAL DATA PROTECTION
 

In the context of the operation of the Marketplace, PFS collects and processes personal data of Users. Users have the right of access, rectification, erasure, restriction, portability and objection.

14. CONFIDENTIALITY AND SECURITY
 

PFS implements appropriate technical and organisational measures to ensure the security of data processed in the context of the Marketplace and to prevent any unauthorised access, loss, alteration, disclosure or destruction of such data.

 

Without prejudice to the User’s obligations regarding the security of their own systems, PFS endeavours to use secure infrastructure and networks in accordance with current standards.

 

 

15. AMENDMENTS TO THE PFS GTU
 

These PFS GTU may be amended at any time. PFS undertakes to notify the User of new versions at least fifteen (15) days before they come into effect. Continued use shall constitute tacit acceptance.

 

 

16. APPLICABLE LAW AND JURISDICTION
 

These PFS GTU are governed by French law. Any dispute shall fall under the exclusive jurisdiction of the Commercial Court of PARIS, France.

General Terms of Sale and Use (Buyer – Seller Relationship)

PREAMBLE


PARIS FASHION SHOPS - PFS, a company registered with the Paris Trade and Companies Register under number 819 963 919, whose EU VAT number is FR 93 819963919, hereinafter referred to as “PFS”, acts as a technical intermediary.

 

These General Terms of Sale, hereinafter the “GTS”, exclusively govern the sale of Products between Sellers and Buyers on the Marketplace. They define the rights and obligations of the parties in the context of the commercial transaction.

 

PFS facilitates transactions carried out on the Website but is neither the buyer nor the Seller of the Products. When a Buyer makes a purchase from a Seller on the Marketplace, a sales contract is formed solely between the Buyer and the Seller. Each sale constitutes a strictly bilateral contract between:

 

  • Buyer;
  • Seller.
     

PFS remains a third party to this contract and is in no way a party thereto.

 

 

1. PURPOSE
 

These PFS GTS constitute the agreement governing the commercial relationship entered into between the Seller and the Buyer regarding the terms of order placement through to after-sales service. PFS is not a party to the sales contract concluded between the parties.

 

 

2. CONTRACT FORMATION AND ORDER PLACEMENT
 

2.1. Contract formation
 

The sales contract is formed only when the following cumulative conditions are met:

 

  • effective validation of payment by the payment service provider;
  • acceptance of the order by the Seller;
  • confirmation of the order by the Marketplace system.
     

It is specified that no guarantee of immediate or permanent availability of Products is given.

 

 

2.2. Products and Seller’s liability
 

The Seller is solely responsible for the Products offered, including their compliance with applicable legal and regulatory provisions, their quality, and their non-infringing nature.

 

PFS does not intervene in the manufacture, selection, conformity or availability of Products and disclaims any liability in this regard.

 

 

2.3. Order placement
 

The Buyer places an order on the Marketplace according to the process provided for this purpose.

 

The order becomes firm and final after validation of payment by the payment service provider and confirmation of the transaction by the system.

 

A confirmation email is sent to the Buyer to confirm receipt of the order. This message does not constitute a guarantee of immediate availability of the Products.

 

 

2.4. Acceptance and fulfilment of orders
 

The Seller reserves the right to accept, refuse or partially fulfil any order. The Buyer is informed, where applicable, of the total or partial validation of their order.

 

Placing an order carries no guarantee of availability of the Products, as the Seller may need to adjust, modify or cancel all or part of the order depending on available stock.

 

In the event of abnormal behaviour by the Buyer, in particular an abnormally high rate of disputes or after-sales service requests, PFS and/or the Seller reserves the right to refuse, suspend or cancel any order.

 

Any purchasing activity for the purpose of unauthorised resale, in particular for dropshipping purposes, is strictly prohibited.

 

 

3. DELIVERY
 

3.1. Shipping and transport
 

Orders are shipped to the delivery address provided by the Buyer when placing the order. The Buyer is solely responsible for the accuracy and completeness of the information provided. Any error or inaccuracy that may result in a delay, loss or additional cost shall not engage the liability of PFS or the Seller.

 

Any request to change the delivery address after shipping must be expressly made by the Buyer by email. PFS may, where applicable, forward the request to the carrier without any guarantee of execution. Costs related to such a change may be charged and shall in any event be non-refundable in the event of failure.

 

Any payment dispute or bank opposition, known as a chargeback, related to incorrect delivery information shall be exclusively borne by the Buyer.

 

The parcel consolidation service offered by PFS is reserved for deliveries within the European Union. In this context, the carrier is selected by PFS, with no option for the Buyer to choose another.

 

When the Buyer opts for a third-party carrier, “Other carrier”, the parcels are made available at PFS’s warehouse for collection and are not consolidated. Storage fees may be applied in the event of non-collection within 10 Business Days. Beyond this period, additional fees of €45 excluding VAT per Business Day may be charged.

 

In the event of a change in transport organisation at the Buyer’s request, in particular a switch to management by PFS, handling and processing fees of €5 excluding VAT per Seller order may be applied.

 

PFS reserves the right to modify transport fees at any time, in particular according to carrier rates, destinations or applicable economic conditions.

 

 

3.2. Receipt of order
 

Upon receipt of the order, the Buyer is required to check the condition and conformity of the Products.

 

In the event of damage or shortage, the Buyer must make precise reservations with the carrier and provide the necessary supporting documents, including photographs of the damaged parcel with visible label and photos of the Products concerned. In the absence of reservations and supporting documents, the delivery is deemed to be in conformity and no claim may be accepted.

 

The absence of reservation or proof constitutes acceptance of the delivery as received and waiver of any subsequent dispute, including with the bank or payment service provider. Any abusive or unjustified dispute may give rise to the recharge of banking and administrative costs incurred.

 

When the Buyer accepts a delivery as a “residential drop-off”, meaning delivery without signature in a secure location such as a doorstep, lobby, neighbour or equivalent, the delivery is deemed to have been made and accepted. No claim may be made in this regard.

 

In the event of refusal to receive the parcel by the Buyer, such refusal is treated as the exercise of the right of withdrawal, where applicable. Return costs shall then be borne by the Buyer and charged at the rate of the initial shipment.

 

 

4. PAYMENT CONDITIONS, INVOICING AND REFUNDS
 

4.1. PAYMENT
 

Prices are indicated in euros, excluding VAT or including all taxes, as applicable.

 

Payments are secured via Stripe. Stripe ensures the security of transactions by bank card as well as by bank transfer.

 

PFS does not retain any banking data. All such data is processed directly by Stripe, in accordance with the strictest security standards in the industry, in particular PCI-DSS certification.

 

The Seller expressly accepts the commissions and fees applied by PFS upon registration. The Seller acknowledges and accepts that PFS acts exclusively as a technical intermediary in connecting parties and managing financial flows, without holding Buyers’ funds at any time.

 

The Seller expressly authorises PFS to transmit to Stripe all information necessary for the creation, management, verification and operation of their connected payment account, including in particular their identification data, banking information and any data required under anti-fraud, anti-money laundering and counter-terrorism financing obligations.

 

The Seller acknowledges that the use of Stripe Connect is subject to the general terms and conditions and policies specific to this provider, which are binding on the Seller in addition to these terms.

 

 

4.2. INVOICING – SELF-BILLING BY PFS
 

In the context of sales made on the Marketplace, the parties expressly agree to a self-billing mechanism in accordance with applicable tax provisions.

 

The Seller expressly authorises PFS to issue, in their name and on their behalf, invoices relating to sales made to Buyers via the Marketplace.

 

In this regard:

 

  • PFS issues sales invoices in the name and on behalf of the Seller;
  • invoices are drawn up on the basis of order information validated on the Marketplace;
  • each invoice mentions the Seller’s identity as the legal supplier of the Product;
  • the Seller acknowledges the accounting and tax validity of invoices issued by PFS in this context.
     

The Seller undertakes to:

 

  • accept without reservation the invoices issued by PFS in their name;
  • not issue contradictory invoices for the same transactions;
  • immediately notify PFS of any error or anomaly identified.
     

PFS acts solely as a mandated third party for the material preparation of invoices, without any transfer of seller status or modification of the contractual relationship between Buyer and Seller.

 

Invoices are retained in accordance with applicable legal and tax obligations and made available to the Seller via the Marketplace.

 

 

4.3. VAT and EU VAT number
 

In the event that an invalid or unverified EU VAT number is provided, French VAT at the applicable rate, 20%, is automatically applied to the order, with no possibility of retroactive regularisation or refund after payment.

 

When the Buyer activates the option to apply French VAT at 20%, they acknowledge irrevocably accepting this application, including in the event of subsequent submission of a valid VAT number.

 

When the delivery country differs from the billing country, French VAT is also applied at the applicable rate.

 

The Buyer undertakes to notify PFS without delay of any change in their tax information in order to allow it to be updated.

 

 

4.4. WITHDRAWAL FEES
 

The Buyer has a withdrawal right of seven (7) calendar days from receipt of the Product, within the framework of PFS’s commercial return policy. Return costs are borne by the Buyer unless otherwise agreed.

 

In the event of exercise of this right of withdrawal, PFS reserves the right to apply withdrawal management fees, intended to cover the logistical, administrative and processing costs associated with the return.

 

These withdrawal fees are set as follows:

 

  • 10% of the total order amount excluding VAT, with a minimum of €5 and a maximum of €20.
     

These fees will be directly deducted from the amount refunded to the Buyer. The refund will give rise to the issuance of a credit note in favour of the Buyer.

 

By way of exception to the foregoing, no withdrawal fee shall be applied:

  • in the event of a non-conforming or damaged Product, or an error attributable to the Seller;
  • for the first orders placed on the Marketplace;
  • for the first order placed with a newly listed Seller.
     

This exemption applies only to the first order placed by a Buyer with each new Seller and remains subject to compliance with the return conditions provided in these General Terms, Article 6.

 

 

4.5. INSTALMENT PAYMENT via SCALAPAY
 

Certain orders placed on the PFS Marketplace may be settled by means of an instalment payment solution offered by Scalapay via Stripe. Use of this payment solution is reserved for professional Buyers meeting the eligibility criteria defined by Scalapay and/or Stripe.

 

The acceptance or refusal of an instalment payment rests exclusively with Scalapay and/or Stripe. PFS does not intervene at any time in the decision to accept, refuse, suspend or terminate the instalment payment service.

 

The Buyer acknowledges that the use of instalment payment may give rise to the application of specific processing fees displayed before the final validation of the order. These processing fees are charged by PFS in consideration of the administrative, technical and processing costs associated with making the instalment payment service available.

 

The amount of applicable processing fees ranges from 3.75% to 5% of the total basket amount, depending on the country concerned and the order amount. The processing fee is clearly and distinctly indicated before confirmation of payment by the Buyer.

 

Unless otherwise expressly provided in these GTS or required by applicable law:

 

  • processing fees related to instalment payment remain non-refundable once the transaction has been validated;
  • these fees remain acquired by PFS in the event of exercise of the right of withdrawal, product return or cancellation subsequent to validation of the instalment payment.
     

However, processing fees will not be charged to the Buyer in the event of:

 

  • technical payment failure;
  • definitive refusal of the instalment payment.
     

The Buyer acknowledges that payment instalments, debit terms, any late payment penalties and the contractual conditions related to instalment payment rest exclusively with Scalapay and/or Stripe. By choosing instalment payment, the Buyer accepts the applicable processing fees, which may remain non-refundable after validation of payment.

 

PFS acts solely as a technical intermediary and does not provide any credit, financing or payment institution service.

4.6. CANCELLATION AND REFUND
 

In the event of unavailability, fraud, non-payment or serious dispute, the Seller or PFS may cancel the order.

 

Any refunds will be made via the original payment method.

 

 

5. PFS RETURN POLICY
 

5.1. General principle
 

In the context of a strictly professional relationship, B2B, Buyers do not benefit from the legal right of withdrawal. However, PFS grants, on a purely contractual and commercial basis, a right to return Products within seven (7) calendar days from their receipt.

 

 

5.2. Return eligibility conditions
 

To be accepted, any return must cumulatively comply with the following conditions:

 

  • the return request must be made within seven (7) calendar days following receipt of the Products, via the form made available on the Marketplace;
  • the return must be made within 48 hours of confirmation sent by PFS;
  • the Products must be returned in their original condition and packaging where it exists;
  • the Products must be new, unused, unworn and unwashed, with their original labels intact;
  • in the case of a bundle or pack sale, the entire bundle must be returned;
  • the Products must be properly packaged to ensure their protection during transport.
     

A packing list must be enclosed in accordance with the instructions communicated by PFS.

 

 

5.3. Return costs
 

Return costs are entirely borne by the Buyer, including shipping costs, return costs, etc.

 

 

5.4. Return processing
 

After receipt, the Products are forwarded to the Seller for conformity inspection.

 

If the return conditions are met, the Seller issues a credit note enabling PFS to proceed with the refund to the Buyer.

 

 

5.5. Claims and after-sales service
 

Any claim relating to the Products must be addressed directly to the Seller concerned. PFS may act as a technical mediator, without any obligation of result.

 

After-sales service requests are subject to the same return conditions defined in this article.

 

In the event of non-compliance with applicable deadlines or conditions, after-sales service may be refused by PFS.

 

When Products are covered by a credit note but have not been returned, PFS may ask the Buyer to provide proof of destruction of the items concerned, in particular by cutting. The issuance of the credit note may be conditional upon receipt of this proof.

 

 

5.6. Non-conforming returns and disputes
 

Any return that does not comply with the above conditions may be refused.

 

In such case, the Seller and the Buyer will endeavour to find an amicable solution. PFS acts solely as a technical intermediary and makes no decision regarding the acceptance or refusal of returns, and its liability cannot be engaged in this regard.

 

 

5.7. Management of refused returns and storage
 

In the event of refusal of after-sales service or return, the Products are retained in PFS’s warehouses for a maximum period of one (1) month.

 

Beyond this period, and in the absence of instructions from the Buyer, the Products may be destroyed.

 

The costs of reshipping refused Products remain the responsibility of the Buyer.

 

 

5.8. Cases of suspension
 

In the event of an abnormally high rate of disputes, returns or after-sales service requests, or in the event of suspected fraud or abuse, PFS reserves the right to suspend the Buyer’s account.

 

 

5.9. PFS’s role
 

In the context of returns, claims and after-sales service, PFS acts solely as a technical intermediary and/or mediator.

 

In this regard:

 

  • PFS is not bound by any obligation of result;
  • PFS does not settle disputes between Buyers and Sellers;
  • PFS may refuse any after-sales service or return that does not comply with these GTS.
     

 

6. INTERNATIONAL DUTIES AND TAXES
 

Prices displayed on the Marketplace are indicated excluding VAT. For any order delivered outside the European Union, customs duties, import taxes and any other applicable charges remain exclusively the responsibility of the Buyer.

 

In the event of refusal to pay these duties and taxes upon delivery, or refusal to receive the parcel by the Buyer, the parcel will automatically be returned to the sender PFS. Return costs will be charged to the Buyer at the same amount as the initial shipping costs.

 

Such refusal will be treated as the exercise of the right of withdrawal by the Buyer, under the conditions provided in these General Terms of Sale.

 

 

7. TAXATION
 

Each party remains solely responsible for its tax, reporting and accounting obligations in respect of its activity.

 

Sellers undertake to comply with all applicable obligations relating to VAT and taxation in their country of establishment and, where applicable, in the countries where they make sales.

 

 

8. LIABILITY
 

The Seller is solely responsible for the proper performance of the sales contract concluded with the Buyer. PFS is not liable for commercial losses, including profits, data and clientele. PFS acts exclusively as a technical intermediary.

 

PFS does not guarantee the quality of the Products, the conformity of the Products, the solvency of the parties, nor the execution of sales.

 

PFS’s liability may only be engaged in the event of proven fault directly attributable to it. In any event, PFS’s total liability is limited to a lump-sum maximum of €50,000 including VAT.

 

 

9. FORCE MAJEURE
 

PFS cannot be held liable for any failure or delay in the performance of its obligations resulting from a force majeure event within the meaning of Article 1218 of the French Civil Code.

 

 

10. AMENDMENTS TO THE PFS GTS
 

The applicable PFS GTS are those in force at the date of order placement. They may be amended at any time with fifteen (15) days’ notice, of which the User will be informed before they come into effect.

 

 

11. APPLICABLE LAW AND JURISDICTION
 

These PFS GTS are governed by French law. Any dispute relating to the sale of Products, including validity, interpretation and performance, shall fall under the exclusive jurisdiction of the Commercial Court of PARIS, France.
